These terms govern your use of sparkedmatter.com and describe the general basis on which Sparked Matter LLC provides consulting services. Specific engagements are governed by a separate written agreement or accepted proposal, which takes precedence over these terms where they differ.
Sparked Matter LLC provides engineering and technology consulting, including systems integration, instrumentation and control, power systems, industrial and marine networking, prototyping, technical documentation, and English–Spanish technical translation. Services are offered as scheduled consultations, project-based work, and ongoing advisory arrangements.
The content on this site is provided for general information about our services. It does not constitute engineering advice for any specific project, and no consultant–client relationship is formed by visiting this site or submitting an inquiry. A relationship begins only when both parties agree in writing to an engagement.
Accurate results depend on accurate inputs. Clients are responsible for providing correct specifications, system information, access, and documentation, and for verifying that any recommendation is appropriate to their actual installed equipment and operating conditions before implementation.
Work product created specifically for a client under an engagement belongs to that client on payment, as set out in the applicable agreement. Sparked Matter LLC retains ownership of its own pre-existing methods, tools, templates, and general knowledge. Where open source tools or licensed components are used, their respective licenses apply.
Technical and business information shared in the course of an engagement is treated as confidential and is not disclosed to third parties. Where a separate confidentiality or non-disclosure agreement is executed, that agreement governs.
Services are performed with reasonable professional care and skill. Except as expressly stated in a written engagement agreement, services and website content are provided without warranties of any kind, express or implied. To the fullest extent permitted by law, Sparked Matter LLC's total liability arising from any engagement is limited to the fees paid for that engagement, and we are not liable for indirect, incidental, or consequential damages.
This site may link to third-party websites and uses third-party providers for hosting, scheduling, and form handling. We are not responsible for the content, availability, or practices of third-party services.
These terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
We may update these terms as our services change. The "Last Updated" date above reflects the most recent revision. Continued use of this site constitutes acceptance of the current terms.
